1. Agreement to terms

Welcome to SaveOnYourTab. By downloading, accessing, or using our mobile app, website, or any related services (collectively, the "Services"), you agree to be bound by these Terms & Conditions ("Terms"). If you don't agree, please don't use the Services.

These Terms form a legally binding agreement between you and SaveOnYourTab, Inc. ("we," "us," or "our"). Please read them carefully.

2. Eligibility

To use SaveOnYourTab, you must:

• Have the legal capacity to enter into a binding contract.
• Not be prohibited from receiving the Services under applicable law.
• Provide accurate and complete information when creating your account.

3. Your account

You're responsible for the activity that happens on your account. That means:

• Keep your password secure and don't share it.
• Notify us immediately if you suspect unauthorized access.
• One account per person — no sharing or transferring accounts.
• You must be the person you claim to be. No impersonation.

4. How deals work

SaveOnYourTab is a platform that connects patrons with deals offered by participating venues. Here's the deal on deals:

• Deals are offered by venues, not by us. We display them, but the venue sets the price, terms, and availability.
• Claiming a deal reserves it for 30 minutes. If you don't redeem it in time, it expires and may become available to other patrons.
• Redeem in person at the venue. Show your in-app code at the bar or to your server. Some deals may have additional requirements (minimum order, dine-in only, etc.).
• One deal per patron per visit, unless the venue explicitly allows otherwise.
• Deals are not transferable and have no cash value.
• Venues may modify or cancel deals at any time, including after you've claimed them in extreme cases (technical issues, sold-out items). We'll do our best to notify you.

5. Payments & tipping

SaveOnYourTab does not process payments. You pay your tab directly to the venue using whatever method they accept. The discount is applied to your total at the venue. Please tip your servers and bartenders generously — they're working hard, and your discount shouldn't come at their expense. We strongly encourage tipping based on the pre-discount total.

6. Acceptable use

When using our Services, you agree NOT to:

• Violate any applicable laws or regulations.
• Use the Services to harass, harm, or defraud anyone.
• Attempt to gain unauthorized access to our systems or other users' accounts.
• Reverse-engineer, decompile, or scrape the Services.
• Create multiple accounts to abuse promotional offers.
• Resell, redistribute, or commercially exploit deals or our content.
• Upload viruses, malware, or other harmful code.
• Use bots, automated scripts, or similar tools to claim deals.
• Misrepresent your identity or affiliation with any person or entity.

Violations may result in warnings, account suspension, or permanent termination — and possibly legal action.

7. Responsible drinking

Many of our deals involve alcohol. SaveOnYourTab encourages you to drink responsibly. Know your limits, don't drink and drive, and look out for your friends. Venues reserve the right to refuse service to anyone they believe is intoxicated, regardless of any deal you've claimed.

8. Venue partner terms

If you're a venue listed on SaveOnYourTab, additional terms apply to your participation, including obligations around honoring posted deals, accuracy of business information, and payment of any subscription or commission fees. A separate Venue Partner Agreement governs your use of our merchant tools and dashboard.

9. Intellectual property

The SaveOnYourTab name, logo, app, website, design, content, and underlying technology are owned by us or our licensors and are protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for personal, non-commercial purposes — and that's it.

You retain ownership of any content you submit (reviews, feedback, photos), but by submitting it, you grant us a worldwide, royalty-free license to use, display, and distribute it in connection with the Services.

10. Third-party services

Our Services may contain links to third-party websites, apps, or services that we don't own or control. We're not responsible for their content, privacy practices, or terms. Use them at your own risk.

11. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that:

• The Services will be uninterrupted, secure, or error-free.
• Any information (including deal availability, pricing, or venue details) will be accurate or current.
• Defects will be corrected or that the Services are free of viruses.
• Any specific deal will be available when you arrive at a venue.

Your use of the Services is at your sole risk.

12. Limitation of liability

To the fullest extent permitted by law, SaveOnYourTab and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, data, or goodwill — arising from your use of (or inability to use) the Services, even if we've been advised of the possibility of such damages.

Our total liability for any claims arising under these Terms shall not exceed the greater of (a) one hundred U.S. dollars ($100) or (b) the amount you paid us in the twelve months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless SaveOnYourTab and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.

14. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason — including violation of these Terms. You may close your account at any time through the app settings or by emailing us. Sections that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution) will continue to apply.

15. Dispute resolution & arbitration

Any dispute arising out of or related to these Terms or the Services shall be resolved through binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. You and SaveOnYourTab waive the right to a jury trial and the right to participate in a class action. You may opt out of arbitration within 30 days of first accepting these Terms by emailing legal@saveonyourtab.com with your name, account email, and an explicit opt-out request.

16. Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Subject to the arbitration clause above, any legal action must be brought in the state or federal courts located in Travis County, Texas.

17. Changes to these terms

We may update these Terms from time to time. When we make material changes, we'll notify you through the app or by email at least 14 days before they take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.

18. Miscellaneous

• Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us.
• Severability: If any provision is found unenforceable, the rest remains in full effect.
• No waiver: Our failure to enforce any right doesn't waive that right.
• Assignment: You may not assign these Terms; we may assign them to an affiliate or successor.
• Headings: Section headings are for convenience only and have no legal effect.
